Driver Terms and Conditions

Welcome to TAXXI RIDE. By registering as a driver on the TAXXI RIDE platform, you agree to be bound by these Terms and Conditions. Please read them carefully before driving with us.

1. About TAXXI RIDE

TAXXI RIDE is a Transportation Network Company (TNC) that connects riders with independent contractor drivers through our mobile platform. TAXXI RIDE operates in multiple markets across the United States, including:

· Tucson, AZ — launch market

· Phoenix, AZ — expansion market

· Portland, OR — expansion market

2. Driver Eligibility

To drive on the TAXXI RIDE platform, you must:

· Be at least 21 years of age

· Hold a valid U.S. driver's license

· Pass a background check and DMV driving recordreview

· Maintain valid vehicle insurance meeting TAXXI RIDE minimum requirements

· Drive a vehicle that meets TAXXI RIDE vehicle standards

· Complete all required onboarding documents

· Maintain a valid CPR/First Aidcertification

3. Independent Contractor Status

You are an independent contractor, not an employee, agent, or partner of Taxxi Ride Limited. As an independent contractor, you:

· Set your own hours and choose when to go online

· Are responsible for your own taxes, including self-employment tax

· Are not entitled to employee benefits of any kind

· Are solely responsible for maintaining your vehicle and required insurance

4. Driver Levels

TAXXI RIDE operates a four-level driver advancement system based on total miles driven:

· Core I — 60% of net fare

· Level II — 65% of net fare

· Level III — 70% of net fare

· Gold IV — 75% of net fare

A flat Safety & Insurance Fee of $2.75 is deducted from each fare before your percentage is calculated. Advancement is based on mileage driven, not completion rate.

5. Earnings and Payouts

Driver earnings are paid out weekly every Tuesday via direct deposit through Stripe. By onboarding with TAXXI RIDE, you authorize Stripe to process your payouts to the bank account or debit card on file.

· You are responsible for reporting your earnings to tax authorities

· TAXXI RIDE will issue a 1099 form where required by law

· Disputes about earnings must be submitted within 30days

6. Vehicle Requirements Your vehicle must at all times:

· Be properly registered and insured in the state of operation

· Pass TAXXI RIDE vehicle inspection standards

· Be clean, well-maintained, and free of damage

· Display TAXXI RIDE trade dress as required by state TNCregulations

7. Driver Conduct

While driving on the TAXXI RIDE platform, you agree to:

· Follow all applicable traffic laws at all times

· Treat all riders with professionalism and respect

· Never drive under the influence of alcohol, drugs, or any impairing substance

· Never use a handheld device while operating avehicle

· Accept and complete trips in a timely and safe manner

· Not discriminate against any rider based on race, religion, gender, disability, or any protected class

· Report any safety incidents to TAXXI RIDE immediately

8. Zero-Tolerance Drug & Alcohol Policy

TAXXI RIDE maintains a strict zero-tolerance policy for drug and alcohol use. Driving under the influence of any substance — regardless of legality — while active on the platform is grounds for immediate and permanent deactivation.

TAXXI RIDE reserves the right to require drug testing following any safety incident or complaint.

9. Ratings andDeactivation

Riders rate drivers after each trip. TAXXI RIDE monitors ratings to maintain platform quality and safety. Drivers whose ratings fall below the minimum threshold will be notified and given an opportunity to improve. Continued low ratings or violations of these Terms may result in permanent deactivation from the platform.

10. Background Check Authorization

By applying to drive with TAXXI RIDE, you authorize Taxxi Ride Limited and its third-party provider (Checkr) to obtain your consumer report and driving record. This authorization is made in accordance with the Fair Credit Reporting Act (FCRA). You have the right to request a copy of any report obtained.

11. Insurance

TAXXI RIDE maintains TNC insurance coverage as required by applicable state law. Coverage periods are as follows:

· Period 1 — App is on, waiting for a match: contingent liability coverage applies

· Period 2 — Match accepted, en route to rider: full TNC coverage applies

· Period 3 — Rider in vehicle: full TNC coverageapplies

You are responsible for maintaining your own personal auto insurance at all times. Your personal policy may not cover TNC activity — consult your insurer.

12. Limitation of Liability

To the fullest extent permitted by law, Taxxi Ride Limited is not liable for:

· Accidents, injuries, or property damage arising from your drivingactivity

· Loss of earnings due to app downtime, low demand, or deactivation

· Any indirect, incidental, or consequential damages

13. Governing Law

These Terms are governed by the laws of the United States and the state in which you are operating. Any disputes shall be resolved through binding arbitration in accordance with applicable law.

14. Changes to These Terms

TAXXI RIDE may update these Terms at any time. Continued use of the driver app after changes are posted constitutes acceptance of the revised Terms. We will notify you of material changes via the app or email.
